Funded Payouts Agreement
What a brand agrees to when it pays partners from a card or bank account through the service.
1.What this agreement covers
This agreement is between the brand and Partnely, which is operated by SoMe Innovation ApS, Thulevej 12, 3. th, 9210 Aalborg SØ, Denmark (CVR 42673684).
It applies to a brand that pays the partners in its program from a card or bank account through Partnely, where funded payouts are offered, and adds to the Brand Terms, which apply as well. Where the two differ on paying partners from a card or bank account, this agreement applies.
3.What is charged is what you approved
The amount of a run is what you approved: the commission on the orders you approved, at the rates you set in your program. Approved commission is final, so a run never charges for an order you have not approved, and partners receive their full amounts.
4.Reversed and disputed charges
If a run's charge is reversed, or a dispute of it ends in your favour, after partners were paid from it, the amount is a debt you owe to Partnely. The store is restricted, which pauses your program, and what the partners received from the run plus the payment provider's dispute fee is invoiced to you through our collections and stays owed until it is paid. Partners are never asked to return money they were paid.
5.The record of the service
The program agreement each partner signed and the payout records are the service we deliver and the record of it: each run's breakdown, each partner's payout and the payment provider's reference for its transfer. You can open them on the Payouts page at any time.
6.Limits that may hold a run back
Until a store has a funded payout run that was paid more than 30 days ago with no dispute, its runs are capped in size and in number a day, and we keep a ceiling on the funded charges of a store that its bank could still reverse. A run held back by either waits for the next payout day; the Payouts page shows the cap and says when a run waits.
7.The processing fee on a refund
When a share of a run is refunded to you because a partner in it could not be paid, the run's processing fee is not refunded. When nobody in a run could be paid, the whole fee is refunded with the rest.
8.Accepting this agreement and new versions
The store's owner accepts this agreement on the form that adds the card or bank account on the Payouts page, and saving a verified payment method with this agreement accepted switches funded payouts on. When this agreement has a new version, the owner is asked to accept it again on that form or in the notice at the top of the dashboard, and no funded run starts until they do.
9.Stopping
You can stop paying partners through Partnely at any time with Stop paying through the platform on the Payouts page. Stopping settles nothing already owed: commission owed to partners, an invoice for a reversed or disputed charge and a restriction for a run that was not funded still follow. The payment method stays on file for the history, and partners are then paid through the store's own PayPal.
