Creator and Affiliate Terms

1.Scope

These terms apply to every creator account on Partnely. They add to the Terms of Service; where they conflict, these terms apply. "You" means the creator or affiliate who holds the account; "we" and "us" mean SoMe Innovation ApS, which operates Partnely.

Each program you join is governed by a program agreement between you and that brand, which you sign when you join. These terms apply to every program.

2.Eligibility and one account per person

You must be at least 18 years old. Your account is personal: one account per person, not shared, not transferred. If you run an agency or a network, each person who promotes needs their own account.

Your profile must be truthful. Where the marketplace is offered, the audience sizes, categories, languages and rates you state in your discovery profile are what brands rely on when they invite you; verification proves that a channel is yours, not its size. Keep the profile current.

3.Honest promotion

Promote products truthfully. Make no claim about a product that the brand has not made or that you cannot support, and never make health, financial or safety claims that the law restricts. Follow the rules of the platform where you post and the laws where you and your audience are.

Use the brand's names, logos and product images only as the brand allows and only for the program. Do not present yourself as the brand, as an employee of it, or as an official store.

4.Disclosure

Clearly disclose that your links and codes are paid or commissioned, in the way the platform where the post appears requires, and in the way the law where your audience is requires. The disclosure must be visible before a person clicks or uses the code, not hidden in a profile or behind a "more" link.

Use the platform's own tool where one exists (a paid partnership label, an affiliate disclosure setting) and plain words where one does not: for example "ad", "paid partnership" or "I earn a commission on purchases through this link". A brand may require particular wording in its own clauses; it may never ask you to omit a disclosure, and you must not agree to omit one.

5.Prohibited traffic

Commission is earned only on genuine orders from people you genuinely referred. The following are prohibited in every program and are grounds for removal and for withholding commission on the affected orders:

• Self-referrals: buying through your own link or code for yourself, your household, or on someone else's behalf, and routing orders you did not cause to your link.
• Cookie stuffing: setting the attribution parameters or storage in a browser without a real click on your link, including through hidden frames, redirects, scripts or pop-ups.
• Coupon scraping and unauthorised coupon sites: posting a brand's codes to coupon or deal sites, browser extensions or forums that the brand has not authorised, and using codes that were not issued to you.
• Trademark bidding: buying search or display advertising on the brand's name or trademarks, or on misspellings of them, unless the brand allows it in writing.
• Incentivised clicks: paying, rewarding or pressuring people to click links, use codes or place orders, other than through offers the brand has approved.
• Bots and bought traffic: automated clicks, click farms, bought traffic and any other traffic that does not come from real people who saw your content.
• Misleading claims: false scarcity, invented discounts, fake reviews, impersonation, and any promotion that deceives people about the product, the price or who you are.
• Spam: unsolicited messages, comment spam and mass posting of links where the platform's rules or the law forbid it.

6.Content and licences

You own the content you create. By joining a program you do not give the brand any rights in your content beyond those in the program agreement.

When you take part in a campaign, the campaign brief states what the brand may do with the content you produce for it, for how long and with what attribution, and whether the brand may use it in its own advertising. That brief is the licence; if it says nothing, the brand may reshare the content on its own channels with attribution for the campaign's duration, and no more.

You give Partnely the licence in the Terms of Service to host and display your content on the service, including on your public page and, where you make them public, your media kit and discovery profile.

Anyone can report your public page or media kit to us as the Terms of Service describe. If we remove or restrict something after a report, we tell you what and why, and how to ask us to review the decision.

7.The program agreement

When you join a program you sign its agreement by typing your full name. The agreement is the Partnely template with the brand's terms filled in (commission, whether gift card sales and subscription renewals earn commission, whether a fixed commission is paid on orders worth nothing, attribution window, payout schedule, minimum payout and currency) and, where the brand has added them, the brand's own clauses. Commission, attribution, approval, payment and termination for that program are governed by that agreement; a signed copy is kept and can be opened from the program's page.

A brand changes its program's terms by announcing the change with the date it takes effect, at least 14 days ahead unless the change only improves your terms. We email you and show the change on the program's page, even if you stopped the brand's program emails. Orders placed before that date keep the terms in force when they were placed. If you stay in the program after the date, you accept the new terms and a dated copy of the agreement is kept for you; if you do not accept them, leave the program before the date. A rate the brand sets for you alone, or for a product, a category or collection or a campaign, applies to orders recorded after the brand saves it.

8.Payout details, identity and tax

Getting paid is your responsibility to set up. Keep the payout details on your profile accurate and current, whichever way a brand pays you: payouts go to the account you give. The brands whose programs you join can see those details so they can pay you, as the Privacy Policy describes. When you change them we email you, and a brand's automatic PayPal payouts to you wait 48 hours after the change. Where funded payouts are offered and a brand funds payouts through the service, you set up a payout account once on the payment provider's hosted page, where your identity and tax details are collected and held by the provider, not by us. Payouts go only to an account in your own name.

A brand that connects its own PayPal account pays you from that account to the PayPal account you have given: the payment is between you and that brand's PayPal account, under PayPal's terms, and we send the request for the brand without ever holding the money. A PayPal payout you do not claim within 30 days is returned to the brand by PayPal, and the commission is owed to you again.

You are responsible for any tax on what you earn, for declaring it, and for any registration your jurisdiction requires. Where funded payouts are offered, the payment provider may withhold or report where the law requires.

Payouts happen on the schedule and above the minimum in each program agreement, in the program's store currency as the agreement describes; turning a payment into the currency of your own account is done by the payment method used, at that method's rate. We do not advance commission; where funded payouts are offered, a payout through the service is made only from money the brand has funded. Where funded payouts are offered, a processing fee on a funded payout run is paid by the brand and is not taken from your commission. Where offered, payouts through the platform need a bank account in a country the payment provider supports for them, listed where you set up your payout account; elsewhere the brand pays you by hand.

9.Reversals

An order that is refunded, cancelled, charged back or found to be fraudulent while it is still pending is reversed, and the commission on it is removed from your ledger with the reason. While an order is pending, a partial refund lowers its commission in proportion, and an order the store edits is recalculated on its new amounts at the rates recorded for the order where the store's platform reports the edit. Once the brand approves an order, by hand or automatically after the number of days it set, the commission on it is final: a later refund, cancellation or edit does not reverse or change it, and nothing is deducted from your later payouts. Orders that carry risk flags may be held for review before approval.

10.Your page, links and reply automation

Your public page, tracked links and, where offered, any reply automation you run must follow these terms and the Acceptable Use Policy. Where offered, reply automation uses the social platform's official interface under your own authorisation; you are responsible for the messages it sends in your name and for keeping them within the platform's rules.

Where reply automation is offered, you are the controller of the comments and messages your automations handle, and we process them for you as your processor; the Data Processing Agreement applies to that processing as it does to a brand's program, with you as the controller.

If a brand's account is restricted for unpaid platform fees, its tracked links show a notice instead of sending visitors to the store until the restriction is lifted. Orders are still recorded while the store is restricted, and commission on approved orders remains owed. A brand's automatic PayPal payouts to you also wait until the restriction is lifted; the commission stays owed.

11.Termination

You may leave a program at any time from the program's page in your dashboard, by telling the brand or by writing to us, and close your account at any time by writing to hello@partnely.app from the email address on your account. A brand may remove you from its program at any time, and must give a reason if it removes you for a breach.

Commission on orders approved before you leave or are removed is still paid on the program's schedule, unless you were removed for prohibited traffic or another breach of these terms, in which case the brand may withhold commission on the affected orders. Your links stop being attributed when your membership ends, and orders placed after you leave earn no commission.
